Course Summary:

This course offers an introduction to the issues legal counsel encounter in connection with resolving international business disputes under U.S. law. The course uses lectures and interactive class discussions based on primary sources, including statutory and case law materials that the instructor will provide, as well as hypothetical scenarios involving a German manufacturer confronting a variety of legal issues in connection with the distribution of its products into the U.S. market. The course will include:
  • A general overview of the U.S. legal system, as relevant to international business dispute resolution
  • U.S. civil procedure with particular emphasis on its application to international civil procedure
  • The U.S. approach to conflicts of law (private international law), as applicable to the resolution of international business disputes
  • Alternative international business dispute resolution including arbitration, mediation and settlement
  • Selected areas of U.S. substantive business law particularly likely to be involved in international business disputes, including contracts, business organizations, bankruptcy, employment , product liability and certain statutory laws expressly having extraterritorial effect, e.g., antitrust (competition), foreign corrupt practices and alien tort claims
